These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and OptiFlow Media (“OptiFlow”, “we”, “us”, or “our”), governing your access to and use of the OptiFlow website, platform, and all related services (collectively, the “Service”).
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Eligibility and Account Registration
You represent and warrant that you are at least eighteen (18) years of age and are fully capable of entering into and performing your obligations under these Terms. You further represent that you are registering on behalf of a legitimate business and have the authority to bind that business to these Terms.
2. Description of the Service
OptiFlow is a cloud-based appointment booking and business management platform designed for salons, barbershops, nail salons, beauty spas, massage parlours, and other service-based businesses.
3. Free Trial
We may offer new users a thirty (30) day free trial of the Service with full access to all features. No credit card is required to start the trial. Upon expiry of the trial, your account will automatically convert to a paid subscription unless cancelled prior to the end of the trial period.
We reserve the right to refuse, limit, or terminate any trial at our sole discretion if we suspect abuse or fraudulent activity.
4. Subscriptions, Fees, and Billing
- Subscription plans are offered on a monthly or annual basis.
- Pricing is clearly displayed on our Pricing page.
- Early subscribers (first 200 paying customers) will be protected from future price increases for the duration of their continuous subscription, subject to these Terms.
- Annual subscriptions billed upfront receive the equivalent of three (3) months free.
- All payments are processed through third-party payment processors. We do not store credit card information.
5. Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. We offer no refunds whatsoever, including for partial months or unused portions of annual subscriptions.
6. SMS Notifications and Third-Party Services
SMS functionality is powered by Twilio. You are solely responsible for all Twilio fees and for complying with all applicable laws regarding consent to send SMS messages. OptiFlow takes no commission on SMS costs.
Client deposit payments are processed exclusively through your connected Stripe or Square accounts. We are not a party to those transactions.
7. Data Ownership and License
You retain ownership of all data you upload or generate through the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, host, and process your data solely to provide the Service.
8. Acceptable Use and Prohibited Conduct
You agree not to:
- Create multiple accounts to exploit free trials or pricing
- Circumvent billing, chair limits, or security measures
- Use the Service for any unlawful purpose
- Transmit spam, viruses, or harmful code
- Attempt to reverse engineer or copy the Service
Violation of this section may result in immediate termination of your account.
9. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied.
To the maximum extent permitted by law, OptiFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold OptiFlow harmless from any claims, damages, or liabilities arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and without notice.
12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after such changes constitutes acceptance of the new Terms.
